1. Acceptance of Terms
By accessing or using Passing-On ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Passing-On is a digital inheritance vault service that allows users to:
- Store information about their financial assets and accounts
- Designate beneficiaries to receive this information
- Automatically notify beneficiaries when subscription payments stop for an extended period (deadman's switch feature)
Important: Passing-On is NOT a legal document service. The Service does not replace wills, trusts, or other legal estate planning documents. We recommend consulting with a qualified attorney for legal estate planning.
3. Account Registration
To use the Service, you must:
- Be at least 18 years old
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
You are responsible for all activities that occur under your account.
4. Subscription and Payments
Subscription Plans
We offer weekly subscription plans (Basic, Premium, Ultimate) with different features and storage limits. Current pricing is available on our website.
Billing
- Subscriptions are billed weekly in advance
- Payments are processed securely through Stripe
- You authorize us to charge your payment method on a recurring basis
Cancellation
- You may cancel your subscription at any time through your account settings
- After cancellation, your vault remains active until the end of your billing period
- If payment stops for 30 consecutive days, the deadman's switch will be triggered, notifying your beneficiaries
Refunds
We do not offer refunds for partial subscription periods. If you believe you were charged in error, please contact support.
5. The Deadman's Switch
The core feature of Passing-On is the "deadman's switch" - an automatic notification system that triggers when:
- Your subscription payments fail for 30 consecutive days, OR
- You do not check in to the Service within your configured interval
When triggered:
- Your verified beneficiaries will receive email notifications
- They will be provided with access to the asset information and claim instructions you stored
- Access is temporary (90 days) unless extended
You are responsible for:
- Keeping your payment method current
- Maintaining accurate beneficiary contact information
- Ensuring beneficiaries verify their email addresses
- Regularly reviewing and updating your vault information
6. User Responsibilities
You agree to:
- Provide accurate and truthful information
- Use the Service only for lawful purposes
- Not share your account credentials with others
- Not attempt to access other users' accounts or data
- Not use the Service to store illegal content
- Not interfere with or disrupt the Service
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Passing-On and are protected by international copyright, trademark, and other intellectual property laws.
You retain ownership of any content you submit to the Service. By submitting content, you grant us a license to store and display that content as necessary to operate the Service.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PASSING-ON SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, goodwill, or other intangible losses
- Unauthorized access to or alteration of your transmissions or data
- Any failure or delay in triggering beneficiary notifications
- Actions taken by your beneficiaries with the information provided
Our total liability to you for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months prior to the claim.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
We do not guarantee that beneficiaries will receive notifications or that asset information will enable successful claims. Estate matters are complex and may require legal assistance.
10. Indemnification
You agree to defend, indemnify, and hold harmless Passing-On and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you submit to the Service
11. Termination
We may terminate or suspend your account immediately, without notice, if:
- You breach these Terms
- We are required to do so by law
- We discontinue the Service
Upon termination, your right to use the Service will cease immediately. If your account is terminated due to breach, we may delete your data without triggering beneficiary notifications.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last updated" date.
Your continued use of the Service after such changes constitutes acceptance of the new Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Passing-On operates, without regard to its conflict of law provisions.
14. Dispute Resolution
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through informal negotiation. If resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Passing-On regarding the Service and supersede all prior agreements.
